PROSPECTUS

Black Fire Energy Ltd advises that it lodged a Prospectus with the Australian Securities and Investments Commission ("ASIC') on 16 March 2007.

Potential investors should read the entire Prospectus and in particular, in considering the prospects for the Company, investors should consider the assumptions underlying the prospective financial information and the risk factors that could affect the financial performance of the Company. Investors should carefully consider these factors in light of personal circumstances (including financial and taxation issues) and seek professional advice from an accountant, stockbroker, lawyer or other professional adviser. It should be noted that securities are not being offered on the basis of the electronic version of the prospectus and securities will only be issued on the basis of the Application Form to be issued with the paper copy of the prospectus.

EXPOSURE PERIOD

In accordance with section 727(3) of the Corporations Act, this Prospectus is subject to an exposure period of seven (7) days from the date of lodgement with the ASIC. This period may be extended by the ASIC for a further period of up to seven (7) days.

The purpose of this exposure period is to enable this Prospectus to be examined by market participants prior to the raising of funds. If this Prospectus is found to be deficient, Applications received during the exposure period will be dealt with in accordance with section 724 of the Corporations Act. Applications received prior to the expiration of the exposure period will not be processed until after the exposure period. No preference will be conferred on Applications received during the exposure period and all Applications received during the exposure period will be treated as if they were simultaneously received immediately following the completion of the exposure period.

A paper copy of this Prospectus will be made available upon request during the exposure period. Paper copies of this Prospectus made available during this period will not contain an Application Form.

Any person accessing the electronic version of this Prospectus for the purpose of making an investment in the Company must be an Australian resident and must only access the Prospectus from within Australia. The Corporations Act prohibits any person from passing onto another person an Application Form unless it is attached to a hard copy of this Prospectus or it accompanies the complete and unaltered version of this Prospectus. A person may obtain a hard copy of this Prospectus free of charge by contacting the Company.
